Supplier Code of Conduct Policy

Mentor Distribution Group Limited and its subsidiaries are committed to conducting business in a responsible and ethical manner. We believe that our success is built upon the foundation of strong relationships with our suppliers, which are based on trust, transparency, and mutual respect. This Supplier Code of Conduct sets forth the standards and expectations we have for our suppliers when conducting business with Mentor Distribution.

  1. Ethical Business Practices: a. Compliance with Laws and Regulations: Suppliers must comply with all applicable local, national, and international laws, regulations, and standards in their operations and transactions.

    b. Anti-Corruption: Suppliers shall not engage in any form of bribery, corruption, or unethical practices, including offering or accepting improper gifts, payments, or favors that may influence business decisions.

    c. Conflicts of Interest: Suppliers must disclose any potential conflicts of interest that may arise in their interactions with Mentor Distribution, and must take steps to resolve such conflicts in a manner that ensures fair and unbiased decision-making.

  2. Labor Practices: a. Child Labor: Suppliers shall not employ child labor as defined by the International Labour Organization (ILO) Convention No. 182.

    b. Forced Labor: Suppliers shall not engage in any form of forced or compulsory labor, including bonded labor, slavery, or human trafficking.

    c. Non-Discrimination: Suppliers shall provide equal employment opportunities to all individuals, regardless of race, color, religion, gender, sexual orientation, age, disability, or any other protected characteristic.

    d. Fair Compensation: Suppliers shall provide wages and benefits that meet or exceed applicable legal requirements and industry standards.

  3. Health and Safety: a. Workplace Safety: Suppliers must provide a safe and healthy working environment for their employees, and take appropriate measures to prevent accidents and injuries.

    b. Environmental Protection: Suppliers are encouraged to minimize their environmental impact by implementing sustainable practices, reducing waste, and managing resources responsibly.

  4. Product Quality and Safety: a. Quality Standards: Suppliers must adhere to agreed-upon quality and safety standards, and deliver products that meet the specified requirements and industry norms.

    b. Product Safety: Suppliers must ensure that their products do not pose a risk to the health and safety of end-users, and should promptly communicate any safety concerns to Mentor Distribution.

  5. Confidentiality and Intellectual Property: a. Confidential Information: Suppliers must respect the confidentiality of all proprietary and confidential information shared by Mentor Distribution Group and not disclose or use such information for any unauthorized purposes.

    b. Intellectual Property: Suppliers must respect the intellectual property rights of others and ensure that their products and services do not infringe upon any patents, trademarks, copyrights, or other intellectual property rights.

  6. Reporting and Accountability: a. Reporting Violations: Suppliers are encouraged to report any suspected violations of this Code of Conduct to Mentor Distribution promptly.

    b. Accountability: Mentor Distribution Group reserves the right to take appropriate actions, including termination of contracts, if suppliers are found to be in violation of this Code of Conduct.

We expect our suppliers to share in this commitment and to conduct their business operations in alignment with the principles outlined in this Supplier Code of Conduct. We believe that by working together, we can achieve success while upholding the highest ethical standards.
